4. Payment Terms

Invoices

Invoices will be issued upon completion of services or as outlined in the agreement.

Payment Due Date

Payments are due within 30 days from the invoice date unless otherwise agreed.

Late Payments

Late payments may incur a late fee of 1.5% per month on the outstanding balance.

5. Cancellation Policy

Service Cancellation

Either party may cancel the service agreement with 30 days’ written notice. Services rendered up to the cancellation date will be billed accordingly.

Refunds

Refunds for prepaid services will be prorated based on the cancellation date and the amount of service already provided.

Non-Refundable Services

Certain services, such as domain purchases and completed design work, are non-refundable.

6. Miscellaneous

Governing Law

These terms are governed by the laws of The State of Illinois.

Dispute Resolution

Any disputes arising from these terms will be resolved through negotiation in good faith. If a resolution cannot be reached, the dispute will be settled through arbitration in The State of Illinois.

9. Force Majeure

Definition

THICKRIM LLC is not liable for any failure to perform its obligations if such failure is caused by events beyond its reasonable control, including but not limited to natural disasters, war, strikes, or government actions.

Notice

If a force majeure event occurs, THICKRIM LLC will notify the client as soon as possible, outlining the nature and expected duration of the force majeure event.

10. Amendments

Changes to Terms

THICKRIM LLC reserves the right to amend these terms and conditions at any time. Any changes will be effective immediately upon posting on our website or notification to the client.

Client Acceptance

Continued use of our services after changes have been made constitutes acceptance of the new terms.

11. Termination

Immediate Termination

THICKRIM LLC reserves the right to terminate the service agreement immediately if the client breaches any terms of this agreement, fails to make timely payments, or engages in illegal or unethical behavior.

Effect of Termination

Upon termination, the client must cease all use of the services and pay any outstanding fees for services rendered up to the termination date.

12. Limitation of Actions

Time Limitation

Any cause of action arising out of or related to our services must be commenced within one year after the cause of action accrues. Otherwise, such cause of action is permanently barred.

13. Severability

Invalid Provisions

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
